ROLE SUMMARY
The role requires to independently lead all Compliances of Stock Exchange, Unlisted Public Company and Shareholder-related matters. The candidate need to ensure zero non-compliance and act as the first point of ownership for all shareholder and stock exchange matters. This position requires a proactive, detail-oriented CS professional who can ensure robust governance and provide strong documentation, coordination, and investors’ management.
KEY RESPONSIBILITIES
1. Stock Exchange Compliances
• Review & ensuring accurate filing of quarterly, half-yearly, and annual compliances.
• Board meeting and AGM-related filings.
• Monitoring SEBI circulars, amendments and ensuring timely implementation.
• Liaising with RTA, stock exchanges and internal stakeholders
2. Annual Reporting and Meetings
• Drafting of Annual Report.
• Preparation of Business Responsibility and Sustainability Reporting.
• Finalisation of Notice of General Meetings/Postal Ballot.
• Assisting in convening of Annual General Meeting.
3. Compliances – Unlisted Public Companies
• Finalising agendas, notices, minutes for Board Meetings, Committee Meetings and General Meetings.
• Ensuring all the compliances under Companies Act, 2013, FEMA and other applicable laws.
• Maintaining statutory registers and records
• Leading all Audits and liaising with auditors, consultants and internal stakeholders.
4. Shareholders’ Management
The candidate need to exercise high degree of due diligence and should be well versed with all applicable provisions in this area. Independent handling of:
• Transmission of shares
• Duplicate share certificates
• Dividend issues / unpaid dividend / unclaimed dividend
• IEPF filings, transfers, and claim processing
• Investor grievances and liaison with RTA
• Ensuring all investor complaints/cases are resolved expeditiously.
• Maintaining complete documentation to support all approvals and MIS for each of the above activities for effective monitoring and control.
5. Governance & Process Excellence
• Develop and track compliance dashboards
• Maintain SOPs for all secretarial & shareholder processes
• Support Head – Company Secretary in automation / workflow improvement
• Maintain confidentiality and operate with high integrity

QUALIFICATION & EXPERIENCE
• Qualified Company Secretary
• 4–6 years post-qualification experience
• Experience in: Stock Exchange compliances, Secretarial work in listed / unlisted public companies, Shareholders’ Management and IEPF matters
